Registration Terms

 

General

INDYMAE LLC., (INDYMAE, LLC) is in the business of financing small business via different products ("Service"). INDYMAE is not an investment advisor or financial planner, and we do not provide financial, securities, legal or tax advice. Before making any decision or implementing any strategy you should consider obtaining advice from your accountant, attorney, and/or other advisors. Before you continue, you should print or save a copy of these Registration Terms for your records. You understand and agree that INDYMAE is making no commitment or guarantee that your business will be qualified for any of INDYMAE's products. INDYMAE’s Flex Line of Credit and Term Loan are issued by INDYMAE banking relationships.

 

Privacy, Personal and Company Information

For information about INDYMAE's data protection practices, please read our Privacy Policy, as modified from time to time, which is hereby incorporated into these Registration Terms. For information about banking relationships data protection practices, please read its Privacy Policy, as modified from time to time, which is hereby incorporated into these Registration Terms. The Privacy and Security Policies explains how INDYMAE and Banking relationships, respectively, collects and treats your personal and company information, and protects your privacy.

From time to time, INDYMAE may help you obtain products or services from other banks. The privacy policies for those banks will be provided at the time you contract for those services. INDYMAE will collect, treat, and protect your information for those programs in accordance with our Privacy Policy.

 

Credit Authorization

You certify that (i) you are authorized on behalf of the business whose name you have entered to initiate this pre-qualification process for credit and use the Service, and (ii) all information you provide is true, correct and complete and that you will notify us of changes to such information. You understand and agree that we and our personnel, agents and assignees are authorized to contact third parties to conduct background checks and other investigative reports and make credit report inquiries (including requesting business and personal credit bureau reports from credit reporting agencies and other sources), and that INDYMAE has the authority for the foregoing in connection with any update, renewal, or extension of the credit to the business on whose behalf you are initiating this pre-qualification process for credit.

(1) by agreeing to these Registration Terms, you are providing 'written instructions' to INDYMAE Capital Inc. under the Fair Credit Reporting Act authorizing it to obtain information from your personal credit profile* to conduct a pre-qualification for credit in connection with your business.

(2) you are confirming that you are personally liable as a principal of the business.

* This is a soft inquiry which should not impact your credit score.

 

Consent to Referral

You agree that INDYMAE may disclose the information you provide to us, or that we obtain pursuant to the credit authorization process discussed above, to third parties to whom INDYMAE may refer you or your inquiry or application for financing or other services. You hereby authorize INDYMAE to submit such inquiries and applications for financing to third parties on your behalf and to take such further actions as may be necessary or convenient in furtherance of such inquiries and applications. You acknowledge that INDYMAE may receive compensation from third parties for referrals and/or submissions to third parties. In making such referrals and/or submissions, you acknowledge and agree that no fiduciary relationship shall be established between you and INDYMAE. You should carefully consider the terms and conditions of any offers of financing that you may receive.

 

E-Sign Consent

Electronic contract binding. You hereby consent that your electronic signature on agreements and documents has the same legal and moral effect as if you signed such agreements and documents in ink and will be deemed valid, authentic, enforceable, and binding. You understand and acknowledge that the Federal Electronic Signatures in Global and National Commerce Act defines an “electronic signature” as an electronic sound, symbol or process, attached to or logically associated with an contract or other record and executed or adopted by a person with the intent to be bound by such contract or record. Based on this definition, you further consent that your electronic actions or your participation in certain electronic processes that are logically associated with a contract or any fully disclosed terms and conditions in any other form, shall also have the same legal effect as if you signed such contract or agreed to such terms and conditions by providing your written signature in ink and you agree that such actions/participation will be deemed a valid and binding contract to the extent such actions/participation indicates your intent to be legally bound.

Electronic communication. You hereby agree that INDYMAE may provide any communication or notification to you electronically and you hereby consent to receive by electronic means any and all agreements, documents, authorization language, acknowledgements, disclosures and/or notices required to be given by applicable law, regulation or internal INDYMAE policy. You also consent to allow INDYMAE to respond to any inquiries or communications by e-mail, fax or other electronic means regardless of the format of the original inquiry. You agree that electronic copies of communications are valid, and you will not contest the validity or enforceability of such communications or any related transactions, absent proof of altered data or tampering. Pursuant to law and regulations, you agree and acknowledge that all electronic communications delivered to you by INDYMAE (i) shall be given the same legal effect as signed paper communications, (ii) shall be considered a “writing” or “in writing” and (iii) shall be deemed for all purposes to have been “signed” and to constitute an “original” when printed from electronic files or records established and maintained in the normal course of business. You agree that all electronic communications and actions recorded by INDYMAE shall be deemed valid and admissible originals.

 

Technical requirements. To electronically receive, view, and save electronic communications and electronically signed agreements, you must have a personal computer equipped with the requirements set forth below, and either a printer, a hard drive, or other storage device. You must also have a valid email address. You must notify us if your email address changes and you hereby agree to notify us of any such change immediately. To notify us of your new email address, please log on to INDYMAE.com and the applicable subdomains and update your email address in the “My Profile” section of the website. Please note that the minimum requirements set forth below are subject to change.

Changing your consent. You may change your consent at any time. Your consent to electronic communications and E-signing may also be withdrawn at any time by providing us with written notice to the address below. Notwithstanding your change of consent, any electronic communications provided or agreements entered into with your electronic signature prior to your consent being withdrawn shall remain effective and binding.

Your correspondence must contain in the body of such request your e-mail address, full name, US Postal address, and telephone number. After your withdrawal of consent has been received and processed by INDYMAE, all subsequent notifications and communications will be sent by regular mail to the last known address on file with INDYMAE. You have the option to receive any information that we have provided electronically in paper form at no cost to you by providing a written request to the address above. Additionally, you will have the ability to download and print certain documents through the INDYMAE’s Dashboard.

Acknowledgment and confirmation of your consent. If you consent to receiving notices and disclosures in electronic format based on the terms and conditions described in this E-sign Consent Section above, please let us know by clicking the check-box next to “Registration Terms” on the previous page. By clicking the check box, you acknowledge and confirm, among other things that (1) you can access and read these Registration Terms, including this E-sign Consent section; (2) you can print on paper the disclosure or save or send the disclosure to a place where you can print it, for future reference and access; and (3) until or unless you notify INDYMAE as described above, you consent to receive from and through electronic means all notices, disclosures, authorizations, acknowledgements, and other documents that are required for the Services during the course of your business relationship with INDYMAE.

 

Data Source Providers

By accepting these Registration Terms, you also agree to be bound by the terms and conditions of this End User Agreement and Account Verification End User Agreement allowing INDYMAE, among others, to reach out to a Data Source Provider (e.g., a bank or other entity) via a repository of information provided by you (e.g., a URL, internet site, server or document) from which information can be extracted regarding your business.

 

Identity Verification

When your business is providing us information for the qualification process for credit, we ask for your name, address, and other information that allows us to identify you and your business. We may also ask for a driver's license or other identifying documents. You may also submit financial information from your business banking accounts. To help the U.S. government fight the funding of terrorism and money laundering activities, Federal law requires that financial institutions obtain, verify, and record information that identifies each individual or institution that opens an account or establishes a customer relationship. Additionally, INDYMAE uses this information for its decisions and to monitor the performance of customers on an on-going basis. With the Service, you may direct INDYMAE to retrieve such business information maintained online or otherwise by third-party financial institutions or organizations authorized to house such information.

 

Telephone Communications

You hereby expressly consent to receiving calls and messages, including auto-dialed and pre-recorded message calls and SMS messages (including text messages) from INDYMAE, its affiliates, marketing partners, agents, sales and customer services representatives and others calling at INDYMAE's request or on its behalf, at any telephone numbers that you have provided or may provide in the future and you acknowledge that telephone calls to and from INDYMAE may be recorded. You understand SMS messages (including text messages) may be seen by anyone with access to your phone. Accordingly, you should take steps to safeguard your phone and you agree to receive SMS messages (including text messages) even though there is a risk another person could access those messages. You acknowledge that your qualification process for credit is not contingent upon the foregoing consent, and you may initiate the process by contacting us directly. You may opt out of receiving calls and marketing from INDYMAE as described herein by contacting us directly.

 

Jurisdiction

You hereby agree that these Registration Terms are governed by the laws of the State of Florida, without regard to conflict of laws hereof.

Applicant, if married, may apply for a separate account.
